Our acquisition process:

1. Target analysis, valuation & strategy:

We analyse target data, evaluate valuation metrics, and develop an acquisition strategy, including funding, structure, and schedule.

2. Initial offer / NBO:

We create a non-binding initial offer (NBO) based on the target scope, proposed value, and key transaction issues as per the seller’s conditions.

3. Capital raise (if required):

We develop a funding proposal for local debt and equity providers, with the required funding arranged and staged for payment.

4. Due diligence & final agreements:

We coordinate due diligence, review findings, adapt the NBO if necessary, and negotiate the SPA or Asset Purchase Agreement and final price.

5. Closing :

We manage the signing of agreements, competition approvals, fulfillment of suspensive conditions, closing, and post-acquisition integration.
